The article covers a decision by the Business Litigation Session of the Massachusetts Superior Court that an in-house lawyer could not be barred from offering advice to his new employer without evidence that the advice would breach his ethical duty to his former employer. In the article, Russell Beck is quoted as follows:

Russell Beck, a Boston lawyer who focuses on trade secrets and noncompete litigation, said Sanders’ ruling is one of the rare instances in which a judge delved into the circumstances under which an in-house counsel can advise a former employer’s competitor.

“It provides a little additional clarity in an area in which there have been very few cases,” Beck said.

Beck said it was significant that Sanders rejected Gillette’s inevitable disclosure argument that the in-house lawyer could not help but rely on Gillette’s confidential information when advising ShaveLogic. There is no Massachusetts appellate court ruling that affirmatively adopts or rejects the inevitable disclosure doctrine as a substitute for a noncompete agreement, and trial courts have been wrestling with the issue, according to Beck.

“As in most of the cases, the court found there would not have been a need to restrict the employee — in this case the lawyer,” Beck said.

The passage of time was another major factor in Sanders’ analysis, Beck said. The defendant left Gillette in 2006 and began working for ShaveLogic six years later.

“That’s an important thing for people to remember when considering the risk imposed by a lawyer, or any employee moving from one company to another,” he said.

Russell Beck recently joined 19 other trial lawyers across the United States in sending a letter to a bipartisan group of leaders in Congress commending them on their efforts to protect trade secrets by introducing and sponsoring the Defend Trade Secrets Act of 2015.

The letter states, in part, that the federal legislation “will help strengthen the law and the remedies available and protect trade secrets and the innovation they promote in several significant respects.”

The letter concludes as follows:

Trade secrets are a key part of the innovation process, which suffers when trade secret owners cannot adequately obtain effective remedies to redress the theft of their trade secrets. The article covers a decision by the Massachusetts Superior Court that a company was not required to give an opposing party forensic access to all of its computers following allegations that its employee misappropriated trade secrets. The case is titled InVivo Therapeutic Corporation v. PixarBio Corporation.

In the article, Russell Beck is quoted as follows:

Boston attorney Russell Beck, another trade-secret expert, said the decision serves as a reminder that “the sins of the father cannot be visited on the children.”

In other words, Beck said, the mere fact that a departing employee has indisputably stolen trade secrets does not automatically mean that the new employer is equally, or even partially, culpable. Accordingly, a court is going to analyze the employer’s blameworthiness before ordering it to submit to a wholesale forensic investigation by the plaintiff’s expert.

“All too often, we forget that having a smoking gun as to one defendant does not necessarily justify tarnishing the other defendants with the same brush,” the Beck, Reed Riden partner said.

The number of published U.S. court decisions involving noncompete agreements rose 61% since 2002, to 760 cases last year, according to research that the law firm Beck Reed Riden LLP conducted for The Wall Beck Reed Riden in Wall Street JournalStreet Journal. Since most cases are settled out of court and most opinions aren’t reported, that tally is likely low.

In the article, Russell Beck discusses trade secret lawsuits:

Even in states that don’t enforce noncompete agreements, employees can face lawsuits alleging that they have misappropriated trade secrets, says Russell Beck, a partner at Beck Reed who drafted the proposed Massachusetts legislation. Employers are less likely to bring trade-secrets lawsuits because these cases are more costly, often requiring depositions and more extensive discovery. But defending against them is likely to be “more expensive and will have a greater impact on the employee and startup company,” he says.

In the story, Russell Beck also addresses the benefits of noncompete agreements:

Noncompete agreements can offer employers more protection than trade-secrets laws because “there’s a bright-line test,” says Mr. Beck. “The problem with relying on trade-secrets law is that it’s very hard to discover whether somebody has used your trade secrets.” New employers can sometimes limit the impact of noncompete agreements by restricting “the employee to a more narrow role than what had been planned,” Mr. Beck adds.

Executives have the most leverage to alter a non-compete before accepting a job offer, legal specialists say. If the company wants a new management hire badly enough, it will make concessions, Russell Beck, a Beck Reed partner, has found.

The lawyer recently represented a Massachusetts executive wooed by a health-care concern to be its vice president of professional services. Mr. Beck persuaded the company to halve a two-year non-compete requirement. “The benefit of having the executive outweighed the risk of harm caused by the executive’s competition after the first year,” he recollects.

The Symposium will feature presentations and panels focused on the unique vulnerabilities, attributes and value of trade secrets. The presentations and panels will include industry leaders who will address cyber-attacks, cyber-protection, recent developments in trade secret law, enforcement case studies, trade secret vs. patentprotection, valuing and leveraging trade secrets and predicting trade secret trends.

Attendance is limited to 100 registrants in order to encourage significant dialogue among participants.
